Terms of Service
1. Introduction and Acceptance of Terms
1.1. Agreement. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "Customer") and WAI bot.AI ("WAI bot.AI," "we," "us," or "our"), the operating entity/brand, concerning your access to and use of our Subscription Service (the "Service"). By accessing, subscribing to, or using the Service, you confirm that you have read, understood, and agree to be bound by all of these Terms.
1.2. Binding Entity. You acknowledge that WAI bot.AI is currently operating as a brand and you agree to contract with the WAI bot.AI operating entity, regardless of its legal registration status.
2. CRITICAL DISCLAIMER: Non-Affiliation and User Risk Transfer
2.1. INDEPENDENCE. WAI bot.AI IS NOT AFFILIATED WITH, ENDORSED BY, OR IN ANY WAY OFFICIALLY CONNECTED WITH WHATSAPP, META PLATFORMS, INC., OR ANY OF ITS SUBSIDIARIES OR AFFILIATES.
2.2. USER RESPONSIBILITY & ACCOUNT RISK. You bear the SOLE and ENTIRE risk of using the Service. WAI bot.AI expressly disclaims any and all liability for your WhatsApp account status. IF YOUR WHATSAPP ACCOUNT IS LIMITED, SUSPENDED, OR PERMANENTLY BANNED AS A RESULT OF USING THE WAI bot.AI SERVICE, YOU AGREE THAT WAI bot.AI SHALL NOT BE LIABLE FOR ANY LOSSES, DAMAGES, OR INCONVENIENCE INCURRED.
3. Service Description and Third-Party Dependencies
3.1. Service Overview. The Service is a WhatsApp third-party auxiliary software providing features including: button message, AI chatbot, broadcast, and auto reply.
3.2. COMMERCIAL RESULT DISCLAIMER. WAI bot.AI does not guarantee any specific commercial results, conversion rates, or financial outcomes from the use of the Service.
3.3. THIRD-PARTY TOOLS (CRITICAL RISK TRANSFER). The Service relies on and integrates with third-party AI models and services, including, but not limited to: ChatGPT, Gemini, and Grok. WAI bot.AI DOES NOT CONTROL these third-party services. WAI bot.AI IS NOT LIABLE for any changes, interruptions, price increases, or loss of functionality caused by the cessation or modification of any third-party tool. You may incur separate, external subscription costs for these tools.
4. Subscription, Payment, and Termination Policy (Zero Refunds)
4.1. Subscription Model and Dynamic Pricing. The Service is offered on a subscription basis. Pricing is subject to change (including temporary discounts or price increases) without prior notice. The price applicable to your purchase is the price displayed at the time of checkout.
4.2. AUTOMATIC RENEWAL (CRITICAL). Your subscription will AUTOMATICALLY RENEW unless you cancel it at least 24 hours before the renewal date.
4.3. CANCELLATION. You may cancel your subscription through your account dashboard or by emailing caerusmarketing.sales@outlook.com. Cancellation will take effect at the end of the current paid billing cycle.
4.4. ZERO REFUND POLICY (MAXIMUM PROTECTION). General Policy: ALL SUBSCRIPTION FEES ARE NON-REFUNDABLE. We do not issue refunds or credits for partially used periods, unused features, or dissatisfaction. No Refund Upon Service Cessation (MAXIMUM PROTECTION). YOU AGREE THAT IN THE EVENT WAI bot.AI IS UNABLE TO CONTINUE PROVIDING THE SERVICE—DUE TO BANKRUPTCY, DISSOLUTION, CESSATION OF OPERATIONS, OR ANY REASON WHATSOEVER—YOU SHALL NOT BE ENTITLED TO ANY REFUND, INCLUDING ANY PRO-RATA REFUND FOR ADVANCE SUBSCRIPTION PAYMENTS MADE.
4.5. Chargeback and Dispute Policy Prohibition on Chargebacks: You agree to first contact WAI bot.AI at caerusmarketing.sales@outlook.com to resolve any billing discrepancy or payment issue before initiating any chargeback or reversal with your bank or payment processor.
Breach of Contract: You acknowledge that initiating a chargeback in violation of the Zero Refund Policy (Section 4.4) or this Section 4.5 constitutes a material breach of these Terms.
Fees and Costs: If a chargeback is initiated by you and successfully reversed in favor of WAI bot.AI, you agree that WAI bot.AI is entitled to recover all costs and fees associated with the chargeback process, including administrative fees, legal fees, and any payment processor penalties incurred by WAI bot.AI.
Immediate Termination: WAI bot.AI reserves the right to immediately and permanently terminate your access to the Service, without notice or liability, in the event of any payment fraud or unwarranted chargeback.
5. Intellectual Property and Usage Restrictions
5.1. WAI bot.AI IP. All software code, documentation, and proprietary content are the exclusive property of WAI bot.AI.
5.2. USAGE RESTRICTIONS (ENHANCED PROTECTION). You may NOT: Share, distribute, or resell the Service or any part of the WAI bot.AI IP. Share your account credentials with any unauthorized third parties. Reverse-engineer, decompile, or attempt to extract the source code of the Service.
6. Privacy and Data Handling
6.1. Privacy Policy Reference. Your use of the Service is also governed by our separate Privacy Policy. By using the Service, you consent to the data practices described in that policy.
6.2. DATA ACCESS AND DELETION. If you wish to access, correct, or request the deletion of your personal data, you must submit a written request to caerusmarketing.sales@outlook.com.
7. Warranties and Limitation of Liability
7.1. DISCLAIMER OF WARRANTIES. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED.
7.2. LIMITATION OF LIABILITY (MAXIMUM PROTECTION). TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WAI bot.AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES. WAI bot.AI’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU TO WAI bot.AI IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
7.3. Indemnification. You agree to indemnify and hold harmless WAI bot.AI against any losses, damages, liabilities, and expenses (including attorney's fees) arising from: (a) your use of the Service; (b) your breach of these Terms, including any violation of the Chargeback and Dispute Policy (Section 4.5); (c) any claim that your use of the Service caused your WhatsApp account to be limited or banned.
8. Governing Law and Dispute Resolution
8.1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where the WAI bot.AI operating entity is primarily based.
8.2. Binding Resolution and Class Action Waiver (MAXIMUM PROTECTION). Before initiating any formal legal action, you agree to contact us at caerusmarketing.sales@outlook.com and attempt to resolve the dispute informally for at least thirty (30) days. Binding Resolution. If the dispute is not resolved, any claims shall be resolved through final and binding legal proceedings in the jurisdiction where the WAI bot.AI operating entity is primarily based. Waiver of Class Action. YOU AND WAI bot.AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
9. Miscellaneous
9.1. Force Majeure. WAI bot.AI shall not be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including, but not limited to, Acts of God, network failure, or systemic changes/interruptions to the WhatsApp platform.
9.2. Updates and Modifications. We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use constitutes acceptance of the modified Terms.
9.3. ENTIRE AGREEMENT AND RELATED DOCUMENTS. These Terms, together with our separate Privacy Policy and any formal Refund Policy, constitute the entire agreement between you and WAI bot.AI regarding the Service and supersede all prior agreements.
By subscribing and using the WAI bot.AI, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

Please read this Disclaimer carefully before using the WAI bot.AI Service. By accessing, subscribing to, or using the Service, you acknowledge that you have read, understood, and agreed to this Disclaimer, which is incorporated into our Terms of Service.
1. CRITICAL DISCLAIMER: Non-Affiliation and Account Risk 1.1. Non-Affiliation. WAI bot.AI IS NOT AFFILIATED WITH, ENDORSED BY, OR SPONSORED BY WHATSAPP, META PLATFORMS, INC., OR ANY OF ITS SUBSIDIARIES. The Service is an independent, third-party auxiliary tool.
1.2. Account Risk Transfer. You understand and acknowledge that using any third-party tool that interacts with WhatsApp carries an inherent risk of enforcement action by Meta Platforms, Inc. WAI bot.AI is not responsible for any limitations, suspensions, or permanent bans placed on your WhatsApp account, and you assume the entire risk of such actions.
2. No Warranties or Guarantees of Performance 2.1. Service Provided "As Is." The WAI bot.AI Service is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied. We do not guarantee continuous, uninterrupted, or error-free operation of the Service.
2.2. No Guarantee of Results. We make NO GUARANTEES regarding specific commercial results, leads generated, conversion rates, or financial success from the use of the features, including button message, AI chatbot, broadcast, or auto reply. Your success depends entirely on your independent effort, market conditions, and external factors.
3. Third-Party Tools and Dependencies 3.1. External Service Dependency. The Service relies on the performance and availability of external APIs and services, including ChatGPT, Gemini, and Grok.
3.2. Exclusion of Liability. We have no control over the features, pricing, availability, or policies of these third-party tools. We shall not be liable for any malfunction, service interruption, policy change, or additional cost incurred due to the use or failure of any third-party service. You are responsible for complying with the terms of service of all third-party platforms you integrate with.
4. Limitation of Liability To the fullest extent permitted by law, WAI bot.AI, its owners, and operators shall not be liable for any direct, indirect, incidental, consequential, or punitive damages (including loss of profits, data, or business opportunities) arising from:
The use or inability to use the Service.
Any actions taken by WhatsApp or Meta Platforms, Inc. against your account.
Issues, downtime, or changes related to any third-party AI tool.
Your reliance on any information generated by the AI chatbot.
Our total liability to you shall be strictly limited to the amount you paid for the Service in the three (3) months preceding the claim.
